Very detailed stuff but basic is Mexus has 20% of a Joint venture on the Caborca Rancho property with Argonaut (ARNGF @ $ 1.31) Canadian miner who pay $950K and do $5 mil work by ’18 to get 80% production at no cost to Mexus. Mexus up to .03 but 20% of AR’s share in Newco Jt venture is .26! Slips twixt/ lip possible but as close to well done deal as I’d expect Celebration on some family $5.7 mil due this week I do expect!! She’s a broken L hip replaced June 4 , me tad frozen Rt arm 3 July. Life’s wonderful otherwise. Don and Dorly(“Mexus”), On July 6, 2015, Mexus Gold Mining, S.A. de C.V., a wholly owned Mexican subsidiary of the Company entered into an Option and Joint Venture Agreement (“Agreement”) with Minera Real Del Oro, S.A. De C.V., a wholly owned Mexican subsidiary of Argonaut Gold, Inc., a Canadian gold company engaged in exploration, mine development and production activities (“Argonaut”). Pursuant to the Agreement, Mexus has granted Argonaut an exclusive and irrevocable option to acquire all rights to Mexus’ mining concessions located in Caborca, Mexico, Sonora State described as the Marta Elena, Julio II-VII and Mexus III Claims (the “Mining Concessions”).According the Agreement, Mexus will transfer its Mining Concessions into a newly formed Mexican Company (“Newco”), and Argonaut will have the sole option to purchase up to 80% ownership of Newco in accordance with the terms of the Agreement.
6. At any time prior to December 31, 2018, Argonaut may exercise the option, provided that it has incurred minimal expenditures on the project of US$5,000,000 and made cash payments to Mexus equal to US$950,000.

At this point with all sustaining cost of gold at NocheBuena = $1151 which is equal to the current price of gold at $1151. I fail to see why this is a good deal? Looks like a win for Arewenot going to screw you as they can keep oz on an uptrend and lower there overall breakeven. With only one board seat on the Newco whats the chances we ever win a vote? Pass the Vaseline….
Looks like a great deal! I wonder if Paul will now focus on other properties since it seems argonaut will be doing most of the development for the mining at Julio. Sit back and collect 20% seems fine by me. We have other properties that a JV could be great for down the line.
Firstly all can simply ignore any Fresnillo mines or even Argonaut’s anyplace at anytime. What’s to replace the missing $4 mil need for development we DID NOT HAVE! will be use of AR’s funds for ALL costs. Plans called for rapid shaft build up and slower veins from surface then heap leach. They’re not stupid folks and if they can’t approach with the same plan with $300K drills by Dec 31st it’s bye bye Mexus, you got it. Seat on the BoD means no possibility of hiding results. Newco should run near the spread sheets HIGH PDF not low and slow. All needed has to be complete end of ’18 with the near Mil cash and $5 mil cost to take their 80%. They had last small underground running large open pit even sooner. 20% at NO cost is pure bottom line revenue to Mexus but profit after expense to AR. Bill Reid used to fully explain the vast difference for mine investments. I care less for doing nothing but watch. Make them work all the harder for me to be low as possible all in cost.
I doubt much will be going on with Ures claims until AR tosses in all $950K BUT we’ve still 50% of San Felix until Atzek pays off near $5 mil debt. AR just may have that as an interest if the headache’s worth the asset. They’d be MUCH more difficult to be dealing with.
In all once again what really has been gained is pure cred in a burgeoning area of PM production bigs are elbowing into. Shows tiny Mexus can pull a rabbit least 50% of the time and San Felix might take the to all the time with is damn good batting. 8
