Again, MEXUS IS NOT FOR Sale!  Up tp 49.9%  of  the 100% owned   Julio- Santa  Elena  Ranch portion is  able  to be  taken  as  a  JV for the  PROPER $’s. My belief  is   he  has  another  property or  JV  he feels as  a valuable  long  term prospect on the horizon as well. Newmont  wanted out  of  Penmont  AND Mexico and  Fresnillo took them on the  offer.  Neither  Mexus  Mexico  nor owner  Mexus  USA are  for  sale   but  a  few  $100’s  millions  or  between $1 and  $5 premium might   be considered.  Nothing’s  going to be  given away ought  to be  fairly  obvious by now. One man knows what it’s all worth and he’s  the dealer.  Some  pretty stupid  folks   been wrong  about  him  a  very long  time  as  I ‘ve  tried my  damnedest  to point out and   have  seen me  catch all hell making  their pure silliness known.  Mix in  Happy Trails  with here  comes  Santa.

When a  company has  no earnings  you  can’t  talk of  PE.   Your measure  is  EV vs  EBIDTA. If  you’ve  $9 million cash and  260 mil shares  that’s  3.5 cents  EV  before  much else.  You can just  buy  it  at  .027  and pocket the .008. = 33% and  await  ANY earnngs .

Meantime Mexus Mexico now has decided  to restart  the placer  during  this  trip with all permits  in place and  ability to expand  quite a  bit  on the old  repaired  screen plant.    Been decided since  it is NOT to be  part of  the JV agreement  so can be going  quickly  as  he  can purchase and set  it properly  re-sited.  Reverts back to a family side  agreement  with Mexus  when taking  on  the  2011 rights. Family/Mexus  split unknown but  a new % as  was  already  planned  with approved  double output. May be  from 3-4  oz once planned up  to about  6-8 redoubled.  Enough stuff  to run entire  larger  JV  mine  plant  lifetime  then  some. Sits  right there plain sight  so basic  cost  is  fuel and labor. PT’s  said  again the JV is  NOT the only  iron in  the  fire  glowing  red.  Mexus is a  Sonora  player and  the joint ‘s  exploding with  much lower  cost of main expense always  FUEL! In Mexico labor  comes  second place.

He’s plumb tuckered  from this  near  full year’s dickering  and  has some  pure need  he says to do what’s  precisely  as the  Louts  claim and  take  some  time off  for fishing!  First  the  deal  then the  reel. He’s  got  it  coming  from my  end! 8

TGR: Do you expect mergers and acquisitions (M&A) to be a major theme in the gold space in 2015?

FS: Yes, definitely. I think two types of deals will dominate M&A over the next while. First, midtier producers will buy cheaply valued advanced exploration or development companies at roughly a 50% premium in all-share deals. These deals will not be material to the larger companies—they are essentially buying optionality for their project portfolio, which is smart. This is the time to do so.

The other kind of transaction will be mergers among equals, mostly as acts of desperation. How else will these companies get to the critical mass that excites more shareholders? I doubt most of these deals will create value over time because there will be little operational synergies among these companies.

TGR: Are these all-paper deals the blueprint for future deals?

FS: Yes. Every company that has a decent share price can use shares as a currency without spending valuable cash. Every CEO who is prudent will not use cash for M&A at these prices. As for the target companies, those CEOs are executing a takeover bid from a solid producer, so they get something. They would probably prefer quality shares to cash. That way there is a chance to benefit from the upside once the cycle turns.

I spent  one  T’giving , 1966 in  combat at Phan Rang, S. coast  below  Cam Rahn Bay  next  port  S on coast.  Have  to look up the  day’s  mission  to be  sure but  I do know  was in  support of  ground  troops S of  Highlands to Saigon area. Was  reason  we  were pulled  back from  DaNang and  N Viet  missions. Got  real hot  for  a  slow   dive  bomber with  now heavy AA and  SAM installed .  We  watched them off load  Russian  transports and  come  south  not  able  to strike  the civilian ports   just  the  ferry choke points  at  night along HiWay I , even across the  DMZ as  well,  I recall a buffet  set up  where  the S Korean  cook made burgers after  running  outside to  pee off the  porch base overlook to  China Sea   from the  hootch area above.  O’Club, a screened   rambler; attachéd  2 holers  just  out back.  Pleasant , actually and not near as noisy as  crowded  DaNang then world’s  busiest   airport.  Just  3  F-100s  and  1  B-57  sqdn in  attendance .Oh, yeah, C-123’s, Harrys’ Hog Haulers   did all   the Agent  Orange spray  missions we  flew  behind  and under to suppress  ground  fire.  Front row  seat!

Troops  we’d  supported   the   non- holiday  were getting what  could be  carried hot or far away cold  to warm up selves.  Had an interesting  conversation in my Public  Information Office at  52nd  Tac Ftr Wing HQ  about 6-7 years after -’73. I mentioned “weekends” and  both my NCO’s   looked  at  me  funny.  Both done  a  SEA tour  after my  ’66-67  and  said, “What  weekends?”  I laughed  and  agreed  no  time or  days  off  when all out to kill you in 5 countries. Included  holidays  and  day of  week was Sunday cause  the BX  Seiko auto day/date   was    red.

My first USAF holiday was  Nov  ’61 Lackland AFB TX following  Basic. Mess and clubs always did  a  bang  up spread, was  just not  home  cooking. I spent  the  afternoon at  a  nice  couple’s home after  a chapel service then a supper  at  the  mess .   Nice  but  not my  siblings  and folks.  Back in  CA afterWaco Nav training,  for  Nav  Bomb  school, Sacramento and  assigned B-52s Riverside  I was  usually able  to be  back home  until Clark AB PI and VietNam in  ’66. Back at  Clark  just  before  Christmas  I had  a  package  from my  sister  Sonja  Sue and inside was the  family  bird’s  wish bone .  Stuck it up on my  dresser for  the nice   recall  and  went  off to train some new pilot how things  are  actually  done  dive bombing  as  a crew  together  thing. More  50/50 than  they expect  from all previous training  which will keep us  BOTH alive done correct.  After a  sundown at  Hill Hacienda O’Club annex  Happy  Hour  thru dinner  I got home  and  saw  a  stream of  ants  across  the colored  concrete  living  room floor right up the  steps to  my  middle bedroom  of  the  3  we  shared  with a  mirrored  13th Tac Sqdn   between  60 day deployments.  In Villa  Angeles,   Angeles  City   guard gated  community outside Clark;  had been built by one of  first crews  from Japan in  1964 as  investment . We  furnished  by  flying  to TaiPai Taiwan  and loading  all we  could in  the bombay during  training overwater  flights.  When we  rotated  home we sold  our share  to the next   3  leasers . So I followed  the  ant  trail into my  room and it led in  and  also back out  to Sonja’s  wishbone top the  dresser! I do expect  was the only  ever  to be  roasted  in  Salinas  California and  picked polished bare in the  Philippines.  Take  yo’ holidays where they come. With all kids  gone?  Our  first  Thanksgiving today since  1971 alone  EVER. Old  has  some under appreciated  benefits and shared  with the one  you’ve  loved 44 years is among   the best.

Why am I so thankful for all of  God’s blessings when others  are  much more in need?

Well, I’m thankful because  She is not  second  guess  and pulling  my warranty deed.

Why is  She  not  saying,  “Now  give me  your  life as I’ve  given you  yours in  the  past.

Countless others have  bled, suffered  torture  and  died .

So I’m thankful , dear Lord, for  this  season  of  peace  when my life  has been going  so well.

One selling point was  label/single  vineyard served in  the  White House, but  was  Clinton’s. Bought anyway. Touring  Willamette valley in ’05 I bought a  WilliKenzie 2005  pinot noir I liked. They’d  really  babied  it  along. Told  of  repeated  pushing  down the  cap. Planned  to have it  some  special occasion rated some above  90 but  fact selected it  from the  taste room more  of interest.   2 weeks back Dorly  made  a  sauerbraten  and  I got home  late to find  she’d  pulled  it  and  Tom had  not  gotten the  cork full engaged with lever  puller  and  had  to push bottom in and  decant  to filter the  crumbs.  Lot lesser  wine’d  done  just  fine and  a little light  with vinegar  gravy  red cabbage and  dumplings but  now  I never  need  to worry. Tom said I checked and  is about $50. I said’d be  a  2006 on as ’04 and ’05 been unavailable some  time. Had it  with 3 I love leastwise.

Wines were  ones  Jadot handle  but not  produce,  Beaune Premier  Crus  but  great value.   I was  telling  Thierry of  the  summer   ’74  we  drove  to  Tarragonia  Spain down the  Loire.  Tom was  1 and  cutting teeth when  we  tried  to nap about  4 AM in  a  stop.  WOW.  Finally  got  café and  croissants and  pressed  on.  On the  way back  we  spent  the  night  in   Vienne  to have  lunch at  La  Pyramide, Fernand Point’s  3  star  (max  at  the  time) birthplace of post  war  French  cuisine. Trained  all the big  time  Lyon chefs  to come. Tom sat  quietly chewing  a  duck leg   and  they loved  him . I got  to tour  the kichen.  Big middle  of  Beaujolais  producers and  began to like   them better. Discovered Julienas  ( Caesar) .

Oddest  thing  on  the  trip to coastal condos below Barcelona Dorly’s  friends  from Trier  owned  was  the local fish market . Some  of  this and  some of  those and  go eat them fresh on  the  deck   and  a  olive oil salesman came  to the door. Better  was the  bodega where  you took   bottles and  they filled em up.  Was  Mon,  Aug  9th and  I saw a headline coming  back from  buying fish, NIXON DIMITIR  with a  half  age  picture.  Meant  POTUS  and  VP both resigned in  disgrace  and  elevated  to VP next in  line  Speaker Jerry Ford now my commander in chief.  Guess  we used to have  Rule  of Law. 8

Kids will go down I-10 E to  her  folks  at  Weimar for  turkey so they sprung   for  us  at  The Fig  tree  last  eve.  A Louis  Jadot Vintner’s  dinner, 5  courses  and   desert; paired with a  wine   Cote de Beaun  white  and  red  burgundy with   2008 Vintage port.  Escargot  pastry, rabbit pasta, dover  sole  with crab and  shrimp,  quail with truffles  and  pate,  braised  Wagyu  short  rib.  Wonderful service and commentary  by  Thierry Pfumettaz , nice   French Swiss  Jadot  rep.  Patio  with finger  stuff and  Tattinger Brut overlooks  the  river  bend  before  Arnison  Theater on  opposite side barges  floating past.  Lights coming on  so I walked up to a  tall blond  fellow and  said, “My,  Isn’t the gym looking  lovely tonight. ” Got  a blank stare,was  Mssr. Pflumettaz. I asked had he  seen Back to the  Future and  explained  the  gym turned  into Romance  under  the  Sea  with  B’ball goals hauled up, tables and a  dance floor.  Talked  wine  a lot.

La  Villita  is  site of  Night  in  Old  San Antonio(NIOSA) at  fiesta  when we  avoid  entirely  unless  some never  seen it  are  on visit.  Dates to rebuilding and restoration to near  original area  village  after ’68 Hemisfair  when Hilton Palacio Del Rio and  Tower  were built and  both restaurants, Little  Rhein Steak House, next door  in 1971 . Quality  has  varied greatly currently  superb. Terraced area on river  has  a  plaque  on  the patio dating  dedication  by WPA of  FDR March 1937. Bult  by  Civilian Conservation Corps  boys . My  dad had   been one in  Oklahoma 1930, out  of  school out  of  work. I  mentioned March was  6 months before I was  dedicated in  Sept.  Nice  evening had  by all.  Of  course  I’m completely out of  table  talk  not  hearing a  thing.  Dr’s  read my  CAT scan and  wants a  quick operation  scheduled.  Sigh. 8

PT’s  spent  the  week  busy as  hell  between  Caborca , Hermosillo,  Tucson and   now  was just hitting  I-10  back W of  Phoenix.  Plans to be  home  for  Thanksgiving  unless  called  back. Fiscal year   starts  April 1.  When  it  says San Felix JV  was  sold  fourth qtr is  then correct  as  in 2014 a  bit odd.  This is interesting  now that   Atzek bought   us  out! No Silver  Pursuit   in  the  statement

Not  much said of  ongoing  dealings   but   14,825,000 shares  were issued  in the  Oct 1 – Nov 19  period.  Reflects  the  declining PPS with still need  to raise  funds.  Loss per share  a  tiny  2/10 cent   reflecting  ops  shut  down in negotiations.   Can see  the URES 40%  split  now  over  as  of  July  with  just  $50K required  to take  the  leases after  5 years.  Accumulative  deficit  $15,717, 804  in  5 years since  Oct  28, 2009.

There’s been no real drilling  program recent. Was  said  108′ submitted  but was  older  logged  stuff  sitting  around I imagine  to have  some  licensed  report  of  content. Any decent  mine  or  miner  can assay for  own intents and  is always ongoing to assure  digging  and  milling, heaping, floating  ore in  right  spots.  If Miner Big takes  the  JV will not be  needing drill hole  proof  for  any  financing  I’d  wager  just  for  proper  course  of  action in mine plan. So many of the managers of the junior companies run out of money personally and start making very bad decisions. We recently saw one company that sold all of its assets to survive with a small amount of cash….. and they gave up on a deal that would have actually given their shareholders a great benefit!!!!! This is scary and shareholders have no control over it.
